Finance: Cedar Fair to acquire SFWoA

Mar. 10th, 2004 -- Cedar Fair, L.P. (NYSE: FUN), a publicly traded partnership which owns and operates six amusement parks and five water parks, today announced that it has reached agreement in principle for the acquisition of Six Flags Worlds of Adventure, located near Cleveland, Ohio, from Six Flags, Inc. The transaction, which is valued at $145 million, involves the purchase of substantially all of the assets of the park, including the adjacent hotel and campground. Six Flags will retain ownership of all animals currently located at the park. The cash purchase is subject to a number of conditions, including the negotiation of a definitive purchase agreement, and is expected to close before the beginning of the 2004 season. Further details were not disclosed.

"This is an excellent and unique opportunity for both companies," said Dick Kinzel, Cedar Fair's chairman, president and chief executive officer. "With this acquisition, we have the ability to add another successful operation to the Cedar Fair family of parks in a market we already know well. The park, which will be renamed Geauga Lake beginning with the 2004 season, offers numerous marketing and operational synergies that we hope to take advantage of almost immediately."

Six Flags Worlds of Adventure is a family-oriented theme park situated on approximately 690 acres, including a 50-acre spring-fed lake. The park offers its guests a wide variety of rides and attractions, including 10 roller coasters, several children's areas, a water park, and various live shows, and entertains more than 1.5 million guests each year, principally from the Cleveland/Akron, Youngstown and Pittsburgh markets. Although 2003 was a soft year, over the past three years the park has averaged revenues of approximately $64 million and cash operating profit of approximately $16 million. Cedar Fair's revenues and cash operating profit for 2003 were $510 million and $176 million, respectively.

Wow, I'm in shock over this. I would have never guessed them being so close and all. But this seems like a plus to the park... heheh I'm still in shock...

Wow... just, OMG... This is a HUGE shocker to me... *speechless*

Well, I guess I can say, hurray? I will seriously have to watch this development before I make any decisions. But I know I'll definatly be going on one of the ESD trips now. Maybe now I can finally try a Vekoma Flyer, always wanted to, and it'll give me a good comparison to SFoG's B&M Prone.

And I LOVE the name change back to Geauga Lake, I always thought it sounded better than SFWoA.

Gotta keep an eye on this one...

This actually isnt a shocker for me. It was kind of expected. SFWOA is within 1 hour driving distance of Cedar Point. The competition is stiff. Not to mention SFWOA is not exactly the best located amusement park. It takes about another 20 minutes once you leave the highway down small roads just to get to it. Cedar Point has always been better at advertising and Im sure they can persuade more folks to go there than Six Flags ever could. What I AM shocked about is the fact that they sold SFWOA before even thinking about SF Astroworld. That is one park that is quickly headed for its demise. 15 years and STILL no new original coaster design? Come on that is simply unacceptable. Its time for them to cut their losses at that park too and sell it. No one will miss it. I know I wont.

What the heck?! Was Cedar Fair's Web site hacked? This is totally whacky. How in the world did Six Flags end up doing this? And what? WHAT?!

This is the craziest stuff I've heard coaster-wise in a long time.

Geauga Lake, eh? Neat.

I hope my Cedar Point employee ID lets me get into the park for free! That would rock.

I really don't know what to think.

Does anyone know if CP season passes will work there, or will we have to wait till next year.

First off i'll have to appologize to Jumbo Jet, he said this months ago http://www.thrillnetwork.com/boards/...ead.php?t=26901 , and none of us believed him, but thats just the nature of rumors, i guess he was right though on this one.

Cedar Fair passes will NOT get you into Geauga Lake in 2004. They will be looking at a Cedar Point/Geauga Lake combo pass in the future.

This comes from the Cedar Fair, LP conference call.

Frankly, that sucks.

I find that fascinating.
A lot of other users (including moderators) slammed his calling of this sale (in October), yet haven't said they are sorry.
Like him, I don't post often. I only post when I have something to say, and this is something I wanted to comment on. I quite remember the rumor in October, and purposely didn't comment as no concrete info to refute him existed.

This has got to be the biggest news of the year. I'm still in shock!. Just think of the possibilities for Cedar Fair to do with Geauga Lake.

Six Flags you gave it a shot, now lets see what the best operator around will do with it.

And I just bought my Six Flags season pass... (Not good since I also have a cedar point pass too)

Anyway... This comes as a huge shock to me. I would have never guessed that this would happen especially since they are so close. I wonder if they will have ticket packages where you can go to both parks for a discounted price. It’s kind of cool that they are renaming the park to Geauga Lake. Does anyone know if some of the rides (like Superman ands stuff) will be renamed seeing as how cedar fair doesn’t have a contract with those comic book companies?

Anyway I think it will be a great think for SFWOA, or should I say Geauga Lake.

Adderrick...why would SF sell AstroWorld? They would lose their TX monopoly and also AW is doing quite well. Not as well as it was doing under Time Warner, but still well.

The Cedar Point passes will NOT work at Geauga Lake this year. Kinzel commented on a possible CP/GL combo pass in the future though.

Hmmm lets just hope though that this doesnt draw attention to the already neglected Michigan's Adventure, and Worlds of Fun. I mean Michigan's adventure hasn't recieved a coaster from CF at all and now they're ready to buy a new park. I hope WoF's And MiA's Big Coaster year is coming soon.

Thats sucks for people who had Six Flags passes anywhere. I would be upset for that. Oh well, there going to do a lot of good there thats for shure.

Why are they saying that there will be a possible CP/GL 'Combo Pass.'?? I wouldn't expect to pay extra to have access for the extra park. Its not like I have to purchase a CP/Dorney 'Combo Pass', its just included with a CP Pass.....it just seems weird that a normal CP pass wouldn't be good at the new park (at least in '05). Maybe it will be, but from the wording used, it seems as if it will be an extra expense.
